1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Vidtreo LLC ("Vidtreo," "we," "us," or "our") governing your access to and use of the Vidtreo platform, including our APIs, SDKs, documentation, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3.1 What We Provide

• Video recording SDK (JavaScript, React, Web Components)
• Client-side video transcoding (MP4 format)
• Video upload and storage infrastructure
• Video delivery via secure URLs
• Dashboard for account management
• API for programmatic access
• Optional AI transcription services

3.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

4. Account Registration

To use the Services, you must:

• Create an account with accurate, complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old or the age of majority in your jurisdiction

5. Pricing and Payment

5.1 Pay-Per-Minute Pricing

Vidtreo operates on a simple pay-per-minute model. You are charged based on the duration of video content processed through our Services.

5.2 Free Tier

New accounts receive a $1 free credit (~100 HD minutes) and 500MB of storage (30-day retention).

5.3 Billing

• Charges are calculated monthly based on actual usage
• Invoices are generated on the 1st of each month
• Payment is due within 15 days of invoice date
• All prices are in USD and exclude applicable taxes

6. Your Responsibilities

6.1 End User Consent

You must:

• Inform End Users that video recording is occurring
• Obtain all necessary consents before recording
• Comply with recording consent laws in applicable jurisdictions
• Provide your own privacy policy to End Users

6.2 Content Responsibility

You are solely responsible for all Video Content created through your use of the Services. Vidtreo provides infrastructure only and does not monitor, review, or approve content.

7. Acceptable Use

You agree NOT to use the Services to:

• Create, store, or distribute illegal content (including CSAM)
• Violate intellectual property rights
• Record without proper consent
• Distribute malware or engage in unauthorized access
• Interfere with or disrupt the Services
• Violate any applicable laws or regulations

8. Intellectual Property

8.1 Your Content

You retain all ownership rights to your Video Content. You grant Vidtreo a limited license to store, process, and deliver your content solely to provide the Services.

8.2 Our Platform

Vidtreo retains all rights to the Services, including our APIs, SDKs, documentation, and any improvements. You may not copy, modify, or reverse engineer our Services except as expressly permitted.

9. Data Protection

When we process personal data on your behalf, we act as a Data Processor. Our Data Processing Agreement (DPA) forms part of these Terms.

10. Limitation of Liability

Vidtreo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

11. Indemnification

You agree to indemnify and hold Vidtreo harmless from any claims, damages, or expenses arising from your use of the Services, your Video Content, your violation of these Terms, or your violation of any third-party rights.

12. Termination

12.1 By You

You may terminate your account at any time through the dashboard or by contacting support.

12.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, or as required by law.

12.3 Effect of Termination

Upon termination, your Video Content will be deleted within 30 days. You must pay any outstanding fees.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or dashboard notification at least 30 days in advance. Continued use after changes constitutes acceptance.
